FORMAL DEMAND NOTICE UNDER MSMED ACT, 2006
Subject: FINAL STATUTORY DEMAND NOTICE: DUES UNDER SECTIONS 15 & 16 OF MSMED ACT, 2006 - ₹8,79,213.55
PLEASE TAKE NOTICE that the undersigned, Apex Precision, is an eligible enterprise holding valid UDYAM Registration No. UDYAM-MH-01-0012345, governed by the mandatory provisions of the Micro, Small and Medium Enterprises Development (MSMED) Act, 2006.
In terms of Section 15 of the MSMED Act, 2006, your organization was statutorily mandated to make payment on or before the agreed credit date, which in no circumstance can exceed 45 days from the date of acceptance of goods/services. Despite delivery and acceptance of materials/services, an aggregate principal sum of ₹8,50,000 remains overdue.
TAKE FURTHER NOTICE that under Section 16 of the MSMED Act, 2006, you are statutorily liable to pay compound interest with monthly rests on the unpaid amount from the appointed day at three times (3x) the RBI Bank Rate (i.e. 19.5% p.a.). As on 2025-02-15, the accrued penal interest stands at ₹29,213.55, making the total demand amount ₹8,79,213.55.
Furthermore, under Section 23 of the MSMED Act, 2006, this interest amount is strictly inadmissible as a deductible business expense for income tax. In addition, under Section 43B(h) of the Income-tax Act, 1961, failure to pay MSME dues within statutory limits results in full disallowance of these expenses in your taxable income computation.
We hereby give you a final cure notice to remit the full demand amount of ₹8,79,213.55 within 15 days of receipt of this notice (on or before 2025-03-02). Failing payment, we shall proceed without further notice to register a formal recovery petition before the Micro and Small Enterprises Facilitation Council (MSEFC) on the MSME Samadhaan portal and initiate appropriate legal proceedings entirely at your cost and risk.

Frequently asked questions
What is the statutory interest rate for delayed MSME payments?
Under Section 16 of the MSMED Act, 2006, delayed payments to registered Micro and Small enterprises attract mandatory compound interest with monthly rests at three times (3x) the Bank Rate notified by the Reserve Bank of India. With the RBI Bank Rate at 6.50%, the statutory penal rate is 19.50% per annum.
What are the three reminder tiers used in commercial debt recovery?
Tier 1 (Friendly Reminder) is a polite inquiry for invoices due within 0–15 days. Tier 2 (Due Date Warning) is an urgent follow-up for dues 16–30 days overdue, highlighting credit limits and suspension of supplies. Tier 3 (Statutory Demand Notice) is a formal pre-litigation notice for dues beyond 30–45 days, computing Section 16 compound interest and warning of MSEFC / MSME Samadhaan filings.
Is interest paid on delayed MSME payments tax-deductible for the buyer?
No. Section 23 of the MSMED Act explicitly prohibits buyers from claiming penal interest paid on delayed MSME payments as a tax deduction under the Income-tax Act, 1961.
How does Section 43B(h) of the Income-tax Act affect delayed payments?
Introduced via the Finance Act 2023, Section 43B(h) disallows expenditure deductions for buyers if payments to registered Micro and Small enterprises are not made within the time limits prescribed in Section 15 of the MSMED Act (maximum 45 days with written agreement, or 15 days without).
Can I print or save the generated reminder as a PDF?
Yes. The generator includes a print-optimized A4 layout. Clicking 'Print Notice / Save PDF' opens your browser's native print dialog where you can print directly on company letterhead or save as a PDF document.
